Terms of Service
Effective Date: September 21, 2025
These Terms of Service (“Terms”) set out the agreement between Virtuali (“we,” “us,” or “our”) and any individual or business (“you” or “Client”) using our services. By engaging Virtuali, you agree to these Terms.
Services
Virtuali provides outsourcing services, connecting Clients with dedicated Virtual Assistants (VAs). Services include recruitment, onboarding, shadow support, and ongoing performance monitoring.
Client Responsibilities
Clients must provide accurate business information and role requirements, treat assigned VAs with fairness and professionalism, ensure VAs are provided with clear instructions, tools, and access required for their role, and comply with applicable employment and workplace laws in their jurisdiction.
Virtual Assistant Relationship
VAs engaged through Virtuali are independent contractors contracted with Virtuali, not directly with the Client. Clients must not bypass Virtuali to hire VAs directly within 12 months of engagement without Virtuali’s written consent. A buyout fee of AUD $5,000 applies in such cases.
Fees and Payments
Fees are billed monthly in advance, based on the selected plan (Part-Time or Full-Time). At onboarding, one month advance payment plus one month refundable deposit is required. Payments must be made in full before services commence. Deposits are refundable upon contract termination, provided required notice has been given and all outstanding amounts are settled.
Term and Termination
Services are provided on a month-to-month basis unless otherwise agreed. Either party may terminate the agreement with written notice of at least 30 days. Virtuali reserves the right to terminate services immediately for misuse, non-payment, or breach of these Terms.
Confidentiality and Intellectual Property
Both parties agree to keep all confidential information private and not disclose it to third parties without consent. All work created by VAs for the Client in the course of their role remains the intellectual property of the Client.
Data Protection
Virtuali handles personal information in accordance with our Privacy Policy. By using our services, you agree to such processing and storage.
Limitation of Liability
Virtuali will use reasonable care in providing services but does not guarantee error-free or uninterrupted service. Virtuali is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the total fees paid by the Client in the preceding one-month period.
Governing Law
These Terms are governed by the laws of the Philippines. Clients based in Australia acknowledge that Virtuali is a Philippines-based entity servicing Australian clients remotely.
Changes to These Terms
Virtuali may update these Terms from time to time. Updates will be posted on our website, and continued use of our services constitutes acceptance of the updated Terms.
